Compute Exchange E-Sign Consent

Last Updated: January 28, 2025

As part of your relationship with the Compute Exchange (collectively, “we”, “us” and “our”), we are required by law to give you certain information “in writing.” We may also need to obtain your signature to complete certain functions, including to enable you to participate it the Compute Marketplace. Any capitalized term not defined herein shall have the meaning ascribed to it in the Compute Exchange terms of service available at https://compute.exchange/terms

In order to do this, we first need your consent to use electronic records and signatures. By providing your consent, you agree that we may send you any and all Communications in an electronic form. “Communications” means each disclosure, notice, agreement, undertaking, fee schedule, periodic statement, record, document or other information we provide to you, or that you sign or submit or agree to at our request, in connection with your relationship with us. You also consent to the use of electronic signatures as part of our transactions with you.

  1. Scope of Your Consent. Your consent applies to any Communications related to the Compute Marketplace. Your consent includes, but is not limited to, Communications related to:
  • Participating in the Compute Marketplace;
  • Performing transactions or obtaining information in connection with the Compute Marketplace; and
  • All legal and regulatory disclosures and communications associated with your transactions on the Compute Marketplace.
  1. Certain information may still be provided in writing. In our sole discretion, the Communications we provide to you, or that you sign or agree to at our request, may be in electronic form (“Electronic Records”). We may also use electronic signatures and obtain them from you as part of our transactions with you. Electronic Records may be delivered to you in a variety of ways. These various delivery methods may include email or posting on a website that we designate.

You should print or download a copy of any Communications we provide to you as Electronic Records, including this consent, and keep it for your records. We may require any information you provide to us, or any document you sign, to be delivered to us in writing.

  1. Your Right To Withdraw Your Consent. You are not required to provide your consent and have the right to withdraw your consent from us at any time. If you withdraw your consent or refuse to provide it, we will be unable to complete your transaction through the Compute Marketplace and may be unable to provide certain other electronic services to you. To withdraw your consent to electronic Communications from the Compute Exchange, please contact:
    Mail
    Email
    Telephone

You may withdraw your consent to receive Communications in electronic form at any time by contacting us at [email protected]. If you do withdraw your consent, we will send subsequent Communications to you in writing to the most current mailing address we have for you in our records.

  1. You Must Keep Your Email or Electronic Address Current With Us. You agree to provide us with valid email and mailing addresses. You must notify us immediately of any change to your email or mailing addresses. You can make changes to your mailing address or your email address by updating the information through our website or by contacting us at [email protected].
  2. Hardware Or Software Requirements to Access or Retain the Electronic Records. In order to view and retain your electronic Communications, you will need:
  • An electronic device with the capability of Internet access and a Current Version of Chrome, Firefox, or Safari at minimum.
  • A Current Version of a PDF reader;
  • A printer, if you want to print copies of Electronic Records, or other storage device; and
  • An active email address.

Currently the Compute Exchange supports Chrome, Firefox, and Safari. By “Current Version,” we mean a version of the software currently supported by its publisher. We reserve the right to discontinue support of a Current Version of software if, in our sole opinion, it suffers from a security flaw or other flaw that makes it unsuitable for our use of electronic Communications. We will notify you of this change.

In some cases, you may also need a specific brand or type of device that can support a particular software application, including an application intended for particular mobile or handheld devices. We will let you know when this is the case.

If we change these hardware or software requirements, and that change creates a material risk that you would not be able to access or retain your electronic Communications, we will notify you of the revised hardware or software requirements, but you will continue to receive electronic communications until you withdraw your consent.

By accessing or participating in the Compute Marketplace, you are consenting to the use of Electronic Records and signatures in connection with your relationship with The Compute Exchange, and also confirming that:

  • You have reviewed this Disclosure and Consent,
  • You have the hardware and software described above,
  • You are able to receive and review Electronic Records, and
  • You have an active email account and the ability to access and view PDF files.
